Terms of Service

1. Acceptance of Terms
By accessing or using any KeyStone applications, platforms, websites, software, services, or products (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services. Your continued use of the Services constitutes ongoing acceptance of these Terms and any modifications thereto.
These Terms constitute a legally binding agreement between you and KeyStone ("we," "us," "our"), whether or not KeyStone is incorporated at the time of your use. References to KeyStone include its founders, operators, affiliates, successors, and assigns.
2. Description of Services
KeyStone provides various software applications and platforms, which may include but are not limited to: backend-as-a-service (BaaS) solutions for game servers, art reference board applications, and other digital tools and platforms. The specific features and functionalities of each Service are described within that Service.
3. Beta and Development Status
YOU ACKNOWLEDGE AND AGREE THAT: (a) KeyStone and its Services are currently in beta, development, or early-access phases; (b) the Services may contain bugs, errors, defects, and vulnerabilities; (c) features may be incomplete, change substantially, or be discontinued without notice; (d) data loss, service interruptions, and other failures may occur; and (e) the Services are provided for testing and evaluation purposes and are not guaranteed to perform at any particular standard.
4. User Responsibilities and Acceptable Use
You agree that you will:
- Use the Services only for lawful purposes and in accordance with these Terms;
- Provide accurate and complete information when required;
- Maintain the security and confidentiality of your account credentials;
- Accept full responsibility for all activities that occur under your account;
- Maintain your own backups of any data or content you store using the Services;
- Comply with all applicable laws, regulations, and third-party rights.
You agree that you will NOT:
- Attempt to gain unauthorised access to any Services, systems, or networks;
- Interfere with, disrupt, or burden the Services or connected networks;
- Upload, transmit, or distribute malicious code, viruses, or harmful content;
- Use the Services to infringe upon intellectual property rights of others;
- Reverse engineer, decompile, or disassemble the Services except as permitted by law;
- Use the Services for any illegal, harmful, or fraudulent purposes.
5. No Offer or Commitment
All information, pricing, feature descriptions, examples, and materials provided through or about the Services are for general informational and illustrative purposes only. Nothing on any KeyStone website, application, or communication shall constitute a legal offer, binding quotation, guarantee, or service level commitment. Any formal engagement, if applicable, will require a separate, individually negotiated written agreement.
6. User Content and Data
You retain ownership of any content, data, or materials you submit, upload, or store through the Services ("User Content"). By submitting User Content, you grant KeyStone a non-exclusive, worldwide, royalty-free licence to host, store, transmit, and display such content solely as necessary to provide the Services. You represent and warrant that you have all necessary rights to submit User Content and that such content does not violate any third-party rights or applicable laws.
WE ARE NOT RESPONSIBLE FOR USER CONTENT. We do not control, endorse, or guarantee the accuracy, integrity, or quality of any User Content. We are not liable for any User Content, including but not limited to any errors, omissions, loss, or damage arising from User Content.
7. Intellectual Property
All text, graphics, logos, code, software, designs, and other materials comprising the Services (excluding User Content) are owned by or licenced to KeyStone and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose. No other rights are granted, expressly or by implication.
8. Third-Party Services and Links
The Services may integrate with, link to, or rely upon third-party services, platforms, APIs, or content ("Third-Party Services"). KeyStone does not control, endorse, or assume responsibility for any Third-Party Services. Your use of Third-Party Services is at your own risk and subject to the terms and policies of those third parties. We are not liable for any loss, damage, or harm arising from your use of or reliance on Third-Party Services.
9. Service Modifications and Availability
We reserve the right, at any time and without prior notice, to: (a) modify, update, or discontinue any or all of the Services; (b) change the features, functionality, or availability of the Services; (c) impose limits on certain features or restrict access to parts or all of the Services; and (d) suspend or terminate your access to the Services for any reason. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
10. Account Termination
We may, in our sole discretion, suspend or terminate your account and access to the Services at any time, for any reason or no reason, with or without notice. Upon termination: (a) your right to use the Services will immediately cease; (b) we may delete your account and any associated data without liability; and (c) provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 11, 12, 13, 14, 15, and 18.
11. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KEYSTONE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT OR INFORMATION;
- WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
YOU USE THE SERVICES ENTIRELY AT YOUR OWN RISK. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KEYSTONE, ITS FOUNDERS, OPERATORS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
- ANY BUSINESS INTERRUPTION, LOSS OF USE, OR COST OF SUBSTITUTE SERVICES;
- ANY UNAUTHORISED ACCESS TO, ALTERATION OF, OR LOSS OF YOUR DATA OR TRANSMISSIONS;
- ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF KEYSTONE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY EVENT, KEYSTONE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (I) THE AMOUNT YOU PAID TO KEYSTONE, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (II) ONE HUNDRED POUNDS STERLING (£100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, KEYSTONE'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
13. Indemnification
YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS KEYSTONE, ITS FOUNDERS, OPERATORS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, AND AFFILIATES FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, COSTS, DEBTS, AND EXPENSES (INCLUDING REASONABLE LEGAL FEES) ARISING FROM OR RELATED TO: (a) your use of and access to the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property, privacy, or other rights; (d) your User Content; (e) your violation of any applicable laws or regulations; or (f) any dispute between you and any third party arising from your use of the Services.
14. Assumption of Risk
By using the Services, you expressly acknowledge and agree that you assume all risks associated with such use, including but not limited to: data loss or corruption; service outages or interruptions; security breaches; software bugs or defects; compatibility issues; and any consequences arising from the beta or development status of the Services. You agree that KeyStone shall not be liable for any such risks or their consequences.
15. Force Majeure
KeyStone shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond KeyStone's reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, power failures, internet or telecommunications failures, cyber attacks, pandemics, or any other force majeure event.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Services or notification to you. Your continued use of the Services after any changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically. Material changes may be notified via email or prominent notice within the Services.
17. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be submitted to binding arbitration administered in accordance with the rules of the London Court of International Arbitration (LCIA), with the seat of arbitration in London, England. The language of arbitration shall be English. Judgment upon the award rendered may be entered in any court having jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Subject to Section 17, you agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising out of or relating to these Terms or the Services.
19. General Provisions
Severability:
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
Waiver:
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. KeyStone's failure to assert any right or provision shall not constitute a waiver of such right or provision.
Assignment:
You may not assign or transfer these Terms or your rights hereunder without KeyStone's prior written consent. KeyStone may assign these Terms without restriction.
Entire Agreement:
These Terms, together with the Privacy Policy, Cookie Policy, and any other policies incorporated by reference, constitute the entire agreement between you and KeyStone regarding the Services and supersede all prior agreements and understandings.
Headings:
Section headings are for convenience only and shall not affect the interpretation of these Terms.
